General Terms and Conditions (B2B)
(Supplement to the General Terms and Conditions)
These B2B Terms and Conditions supplement the General Terms and Conditions (B2C) of CyclingRide Academy c/o ilogs healthcare GmbH and apply to corporate clients, organizations, associations, and institutions (hereinafter referred to as "B2B Clients").
In the event of any inconsistency, the provisions of these B2B Terms and Conditions shall prevail.
1. Scope of Application
These Terms and Conditions apply to all B2B services, including but not limited to:

Corporate and team-building events
-
Customized AdventureRide Trips
-
Corporate training courses, workshops, and coaching sessions
-
Incentive events, project events, and kick-off events
All services are individually planned and provided exclusively on the basis of a written proposal (quotation).
2. Proposal and Contract Formation
All B2B services are offered on the basis of an individual quotation prepared by CRA.
The contract is concluded upon either:

the written acceptance of the quotation by email, or
-
a written order confirmation issued by CRA.
Any deviations from these Terms and Conditions shall only be valid if agreed in writing.
3. Prices and Payment Terms
3.1 Payment Processing
Payment for B2B services shall be made directly to CyclingRide Academy in accordance with the quotation or invoice.
Payment via Eversports is excluded for B2B services unless expressly agreed otherwise.
3.2 Payment Deadlines
Unless otherwise specified in the quotation:
-
100% of the invoiced amount shall be paid within the payment period stated in the quotation;

and, in any event, no later than before the event begins.
In the event of late payment, CRA reserves the right to withdraw from the contract or withhold its services.
4. B2B Cancellation Policy
Unless otherwise agreed in the quotation, the following cancellation terms apply:
Cancellation up to 14 days before the event
→ No cancellation fee.
Cancellation 13 to 7 days before the event
→ 50% of the agreed total amount is payable.
Cancellation less than 7 days before the event or failure to attend
→ 100% of the agreed total amount is payable.
Any third-party costs or preparation expenses already incurred or contractually committed (e.g., reservations, equipment, guides, or external service providers) shall, in all cases, be charged in full.
5. Number of Participants and Changes
The number of participants agreed in the quotation is binding.
Any changes to the number of participants must be communicated no later than 5 days before the event.
Any reduction in participant numbers after this deadline shall not entitle the client to a price reduction.
6. Event Delivery and Safety
CRA is responsible for the professional management of the event.
Participants must comply with all instructions issued by the coaches and guides at all times.
CRA reserves the right to modify the program or terminate the event, in whole or in part, for safety-related reasons, including but not limited to weather conditions, terrain, group dynamics, or other external circumstances.
Termination of an event for safety reasons does not entitle the client to a refund.
7. Liability
Participation is at the participants' own risk.
CRA shall only be liable in cases of intentional misconduct or gross negligence.
Liability for indirect damages, consequential damages, or loss of profits is excluded.
The client is responsible for the conduct of its participants.
8. Insurance
The client is responsible for ensuring that all participants have adequate:
-
accident insurance;
-
liability insurance; and
-
health insurance.
CRA does not provide any insurance coverage.
9. Image and Media Rights
CRA may use photographs and video recordings taken during the event for marketing and communication purposes.
Any restriction on such use must be agreed in writing before the event.
10. Governing Law and Jurisdiction
These Terms and Conditions shall be governed exclusively by Swiss law.
The place of jurisdiction shall be the registered office of CyclingRide Academy c/o ilogs healthcare GmbH.
11. Severability
Should any provision of these Terms and Conditions be held invalid or unenforceable, the validity of the remaining provisions shall remain unaffected.
